Terms of Service

These Terms of Service ("Terms") govern your use of the Soul website, platform, compiler, software binaries, generated tools, documentation, and related services (collectively, the "Services"). By accessing or using the Services, you agree to comply with these Terms.

1. Service Provider

The Services are provided by Alter Ego DS, www.alteregods.com, a company registered in Spain. Legal identification details, including registered address and tax identification number, shall be made available on the website in accordance with the Spanish Law on Information Society Services and Electronic Commerce (LSSI-CE 34/2002).

2. Acceptance of Terms

By creating an account, purchasing a license, using the online compiler, generating binaries, downloading generated tools, or otherwise accessing the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use the Services.

3. Description of Service

Soul provides a compiler and ecosystem for generating high-performance native operating system tools, primarily focused on filesystem, automation, backup, synchronization, infrastructure, and DevOps-related tasks.

Soul binaries are designed for use on Linux systems by technically qualified users, including developers, DevOps engineers, system administrators, and infrastructure teams. The Services are primarily intended for professional and commercial use.

The Services are provided on an "as is" and "as available" basis. We may modify, suspend, or discontinue any part of the Services at any time, with appropriate notice where reasonably possible.

4. Licenses and Payments

Soul offers the following license tiers: Free (€0), Explorer (€199 one-time), and Architect (€499 one-time). Paid licenses are perpetual and non-recurring unless otherwise stated at the time of purchase.

A Soul license grants you a limited, non-exclusive, non-transferable right to use the Soul platform, compiler access, generated binaries, and related tools according to the limits and features of your selected plan.

Generated Binaries

Unless expressly stated otherwise, binaries generated through Soul may be used by the license holder for personal, internal business, or commercial operational purposes.

You may not resell, sublicense, redistribute, rent, lease, or commercially offer Soul-generated binaries as standalone products or services without prior written authorization from Alter Ego DS.

You are responsible for reviewing, testing, validating, and safely deploying any binary generated through Soul before using it with real, sensitive, production, or business-critical data.

Right of Withdrawal — EU Consumers

If you are purchasing as a consumer and not on behalf of a business or professional activity, EU law grants you a 14-day right of withdrawal from the date of purchase, provided that you have not yet accessed the online compiler with your paid license, initiated a compilation, generated a binary, downloaded a binary, or otherwise started using the digital service.

By initiating a compilation, generating a binary, downloading a binary, or accessing paid digital functionality, you expressly consent to the immediate performance of the digital service and acknowledge that the right of withdrawal is lost upon such use, in accordance with applicable EU consumer law.

To exercise the right of withdrawal before use, contact us at info@soul-run.com within 14 days of purchase.

Service Continuity — Longevity Promise

If the online compiler service is ever permanently discontinued, we intend to make reasonable efforts to provide paid license holders with a continuity mechanism for legacy builds. This may include releasing a final compiler backend, providing an offline build tool, or offering another technically equivalent solution.

This commitment is subject to technical feasibility, legal constraints, third-party licensing restrictions, security considerations, and the availability of the relevant intellectual property rights. Nothing in this section shall require us to disclose trade secrets, confidential infrastructure, private credentials, or third-party proprietary code.

5. User Conduct and Responsibilities

As a user, you agree not to:

  • Use the Services or generated binaries for malware, ransomware, unauthorized access, credential theft, destructive automation, or any unlawful purpose.
  • Use generated tools to access, modify, delete, copy, or interfere with systems, files, or data without proper authorization.
  • Upload harmful, abusive, malicious, or intentionally destructive code to the compilation environment.
  • Attempt to overload, disrupt, exploit, reverse-engineer, decompile, or compromise the Soul platform, compiler infrastructure, authentication systems, or backend services.
  • Circumvent license restrictions, plan limits, technical controls, security measures, or usage limitations.
  • Redistribute, resell, sublicense, or commercially exploit Soul-generated binaries in a manner not permitted by your license.

Any violation of these rules may result in suspension or termination of your account and access to the Services, without prejudice to any legal remedies available to us.

6. Intellectual Property

The source code that you write using the Soul language remains your intellectual property, subject to any rights held by third parties whose materials you include or depend upon.

The Soul compiler, language implementation, runtime components, official tooling, websites, documentation, brand, logo, designs, trade names, infrastructure, and core algorithms are the exclusive property of Soul / Alter Ego DS and are protected by copyright, trademark, trade secret, and other applicable intellectual property laws.

No ownership rights are transferred to you except for the limited rights expressly granted under these Terms or under a separate written license agreement.

7. Technical Risk and Safe Use

Soul-generated binaries may perform powerful filesystem and infrastructure operations, including but not limited to copying, writing, overwriting, deleting, synchronizing, scanning, and modifying files or directories.

You acknowledge that incorrect code, unsafe configuration, compiler bugs, unexpected runtime behavior, operating system differences, permission errors, or misuse may result in data loss, file corruption, service interruption, system failure, backup damage, security exposure, or other serious consequences.

You are solely responsible for testing generated binaries in isolated and safe environments before running them on production systems, real customer data, business-critical infrastructure, backups, network-mounted storage, cloud volumes, or sensitive environments.

Soul is not intended for use in safety-critical systems, medical systems, aviation, nuclear facilities, life-support environments, military targeting systems, or any environment where failure could reasonably lead to death, personal injury, or severe physical or environmental damage.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Soul, Alter Ego DS, its owners, employees, contractors, maintainers, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or business interruption damages arising out of or related to your use of the Services or generated binaries.

This includes, without limitation, loss of data, data corruption, deletion of files, failed backups, loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, downtime, system failures, security incidents, or costs of restoring systems or data.

To the maximum extent permitted by applicable law, our total aggregate liability for any claim arising out of or related to the Services shall not exceed the amount actually paid by you to Soul / Alter Ego DS for the relevant license or service during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, intentional misconduct, or any liability that cannot be excluded or limited under applicable law.

9. No Service Level Agreement

Unless expressly agreed in a separate written agreement, the Services are provided without any guaranteed uptime, availability, support response time, maintenance schedule, compatibility guarantee, or service level agreement.

We may perform maintenance, updates, security changes, infrastructure migrations, or temporary service interruptions when necessary.

10. Termination

We may suspend or terminate your account or access to the Services if you breach these Terms, misuse the Services, violate applicable law, compromise platform security, or use Soul in a way that creates legal, operational, or security risk.

Upon termination, your right to access the online Services may cease immediately. Any generated binaries already lawfully downloaded may continue to be used only to the extent permitted by your license and these Terms.

11. Changes to These Terms

We may update these Terms from time to time. When changes are material, we will make reasonable efforts to notify registered users or display a notice on the website.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Spain and applicable European Union law.

For disputes with consumers, the competent courts shall be those of the consumer's place of residence, where required by applicable law.

For disputes involving professional or business users, unless mandatory law provides otherwise, the parties submit to the courts of Spain corresponding to the registered address of Alter Ego DS.

EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
